Overview

Welcome to BuySinopec.com. The terms “BuySinopec.com,” “we,” “us,” and “our” refer to BuySinopec.com.

BuySinopec.com operates this website and its related information, content, features, tools, products, and services, collectively referred to as the “Services.”

These Terms of Service, together with our Privacy Policy, Return, Refund, Shipping and Cancellation Policy, and any other policies or written terms applicable to an order, describe your rights and responsibilities when using the Services or purchasing products from us.

Please read these Terms carefully. They contain important provisions regarding order acceptance, product selection, delivery, returns, warranty disclaimers, limitations of liability, indemnification, and governing law.

By visiting, accessing, interacting with, or using the Services; creating an account; submitting an order; or purchasing a product, you agree to be bound by these Terms and the policies incorporated into them. If you do not agree, you must not access or use the Services or place an order.

1. Eligibility, Access, and Accounts

By using the Services, you represent that:

• You are at least the age of majority in your state, province, or jurisdiction of residence.
• You have the legal authority to enter into these Terms.
• If you are acting for a business or other organization, you have authority to bind that organization to these Terms.
• The information you provide is accurate, current, and complete.
• You will use the Services only for lawful purposes.

You are responsible for maintaining the confidentiality and security of your account credentials and for all activity conducted through your account.

You must promptly notify us if you believe your account, password, payment information, or other credentials have been lost, compromised, or used without authorization.

You may not sell, transfer, assign, license, or provide your account to another person without our written permission.

We may refuse service, suspend an account, cancel an order, or restrict access to the Services when we reasonably believe it is necessary to prevent fraud, misuse, illegal conduct, security threats, policy violations, or harm to BuySinopec.com or another party.

2. Products and Product Information

We make reasonable efforts to present accurate product descriptions, images, specifications, availability, packaging, and other information. However:

• Product images are illustrative, and colors or appearance may vary by device, lighting, production batch, packaging update, or manufacturer.
• Packaging, labels, specifications, formulations, and product appearance may change without notice when permitted by law.
• Minor differences in color, odor, appearance, or packaging do not necessarily indicate that a product is defective.
• Website descriptions and general information are not a substitute for a product data sheet, safety data sheet, manufacturer specification, equipment manual, or professional technical evaluation.
• Historical, general, or educational information may not reflect the most recent product or manufacturer requirements.

We may modify or discontinue a product, change product descriptions, limit quantities, or restrict sales to particular persons, businesses, geographic regions, or jurisdictions.

We do not guarantee that every product displayed will be available or that a product will meet a customer’s subjective expectations.

3. Industrial Products and Customer Responsibilities

Many products sold through BuySinopec.com are industrial lubricants, oils, fluids, chemicals, pumps, or equipment intended for commercial or industrial use.

Before purchasing or using a product, you are responsible for:

• Determining whether the product is suitable for your intended equipment, application, operating conditions, and environment.
• Confirming the required viscosity, specification, approval, formulation, compatibility, and performance requirements.
• Reviewing the applicable equipment manufacturer’s recommendations and warranty requirements.
• Reviewing and following the product label, product data sheet, safety data sheet, and handling instructions.
• Obtaining any professional, engineering, environmental, workplace-safety, or technical advice necessary for your intended use.
• Properly transporting, receiving, unloading, storing, handling, using, and disposing of the product.
• Complying with all applicable safety, environmental, transportation, export, workplace, and hazardous-material laws.

Unless expressly confirmed in writing by an authorized BuySinopec.com representative, product suggestions, substitutions, cross-references, compatibility information, and general technical information are provided for informational purposes only and do not constitute an engineering certification, equipment-manufacturer approval, or guarantee of fitness for a particular application.

You should not rely solely on a product name, competitor cross-reference, website search result, advertisement, or verbal recommendation when selecting a product.

4. Orders and Order Acceptance

Submitting an order is an offer to purchase and does not constitute our acceptance.

An order is accepted only after we:

• Review and approve the order;
• Receive or authorize payment; and
• Confirm acceptance or begin fulfillment.

An automatically generated order confirmation only confirms that we received the order. It does not guarantee acceptance, product availability, pricing accuracy, or a delivery date.

We may accept, reject, limit, place on hold, or cancel an order for reasons including:

• Product availability;
• Pricing, description, or inventory errors;
• Suspected fraud or unauthorized payment;
• Shipping or delivery limitations;
• Regulatory, safety, export, or geographic restrictions;
• An inability to verify customer, payment, or delivery information; or
• A violation of these Terms or another applicable policy.

If we cancel an order after receiving payment, we will issue the appropriate refund for the canceled portion, subject to any lawful deductions for services already completed or nonrefundable charges previously authorized.

You must review your product selection, quantity, delivery address, receiving requirements, and contact information before submitting an order.

5. Prices, Taxes, and Billing

Prices, discounts, promotions, shipping charges, and product availability may change without notice.

The price charged will generally be the price shown when the order is submitted and accepted, subject to correction of errors. Unless expressly stated otherwise, prices do not include:

• Sales, use, excise, or similar taxes;
• Shipping and handling;
• Freight accessorial charges;
• Customs duties or import charges;
• Liftgate, residential, limited-access, inside-delivery, redelivery, storage, detention, or reconsignment charges; or
• Other services requested or required to complete delivery.

You agree to provide accurate and complete purchase, billing, shipping, payment, and account information and to promptly update that information when it changes.

By submitting payment information, you represent and warrant that:

• The information is accurate and complete.
• You are authorized to use the payment method.
• Charges incurred through the payment method will be honored.
• You authorize us and our payment providers to charge the full order amount and any other charges you approve or incur under these Terms.
• You will pay all properly authorized charges, including product, tax, shipping, handling, carrier, return, restocking, and other applicable charges.

Promotions may be governed by separate terms. If promotion-specific terms conflict with these Terms, the promotion-specific terms will control only with respect to that promotion.

6. Payment Disputes and Chargebacks

If you believe a charge is incorrect, you agree to contact us promptly and provide a reasonable opportunity to investigate and address the issue before initiating a payment dispute or chargeback, where permitted by law.

Initiating a chargeback does not cancel an order, eliminate an outstanding payment obligation, modify an authorized return, or override the terms of an RMA or another applicable policy.

When responding to a payment dispute or chargeback, we may provide the payment processor, card issuer, financial institution, or dispute administrator with relevant transaction records, including:

• Order and payment information;
• Checkout acknowledgments;
• Account and device information;
• Customer communications;
• Shipping and tracking records;
• Bills of lading and proof of delivery;
• Return authorizations;
• Inspection records;
• Photographs;
• Refund records; and
• Applicable policies and written agreements.

You remain responsible for amounts properly owed under these Terms, including amounts improperly reversed through a chargeback, to the fullest extent permitted by law.

Nothing in this section prevents you from exercising a legitimate right provided by applicable law or your payment-card agreement.

7. Shipping and Delivery

All delivery dates, transit times, and estimated times of arrival are estimates unless expedited or guaranteed delivery was purchased and expressly confirmed by us in writing.

We are not responsible for delays caused by:

• Carriers or freight brokers;
• Weather;
• Road or port conditions;
• Customs processing;
• Labor disruptions;
• Product shortages;
• Manufacturing delays;
• Incorrect customer information;
• Inaccessible delivery locations;
• Missed delivery appointments;
• Governmental action; or
• Events outside our reasonable control.

A delay beyond an estimated delivery date does not permit cancellation, refusal, or return without the fees and deductions stated in our Return, Refund, Shipping and Cancellation Policy.

To the fullest extent permitted by applicable law, title and risk of loss pass to the customer when the product is transferred to the carrier. This provision does not eliminate any valid carrier claim or nonwaivable right available under applicable law.

The customer is responsible for ensuring that the delivery location:

• Is accurate and accessible;
• Can legally and safely receive the shipment;
• Has an authorized person available to inspect and accept delivery;
• Has suitable unloading equipment, including a commercial dock or forklift when required; and
• Has disclosed any residential, limited-access, liftgate, appointment, inside-delivery, or other special-service requirement before shipment.

Additional carrier charges resulting from inaccurate information, unavailable receiving personnel, inadequate unloading equipment, refused delivery, redelivery, storage, reconsignment, detention, or an undisclosed delivery condition are the customer’s responsibility.

8. Delivery Inspection, Damage, and Shortages

The customer or receiving representative must inspect the shipment before signing the delivery receipt or bill of lading.

Visible damage or shortages must be described specifically on the carrier’s delivery document at the time of delivery. The customer should take photographs and retain the product, packaging, labels, shipping materials, and delivery documents.

Writing “subject to inspection” does not replace a specific description of visible damage or missing items.

Failure to record visible damage or shortages on the carrier’s delivery document waives the customer’s right to make a claim for that visible damage or shortage to the fullest extent permitted by law.

Concealed damage must be reported immediately after discovery and within the period stated in our shipping and return policies. Carrier deadlines may be shorter.

Signing a clean delivery receipt may materially limit or prevent recovery from the carrier. Acceptance by a carrier, warehouse, or claims administrator does not guarantee that a claim, replacement, credit, or refund will be approved.

9. Returns, Refunds, and Exchanges

All returns, refunds, exchanges, refused deliveries, and cancellations are governed by our Return, Refund, Shipping and Cancellation Policy and any written RMA terms applicable to the order.

Unless different terms are approved in writing by an authorized BuySinopec.com manager:

• A return must be requested within 15 calendar days after documented delivery.
• Products must be unopened, unused, in their original packaging, and in new and resalable condition.
• An RMA must be obtained before returning a product.
• Authorized returns are subject to a 50% restocking fee.
• The customer is responsible for return shipping and related costs.
• Original outbound shipping, handling, expedited delivery, guaranteed delivery, accessorial services, and carrier charges are nonrefundable.
• Custom, special-order, made-to-order, and final-sale products are nonreturnable and nonrefundable.
• Opened, partially used, altered, contaminated, improperly stored, or improperly returned products may be denied a refund.

Issuing an RMA, scheduling a pickup, or accepting a return shipment at a warehouse does not constitute final approval of the return or refund. Returned products remain subject to inspection.

A different return, restocking, or refund arrangement is effective only if approved in writing by an authorized BuySinopec.com manager. A written exception applies only to the particular order and issue identified.

10. Order Cancellation and Refused Deliveries

Orders begin processing immediately after submission. A cancellation request is not effective unless we confirm the cancellation in writing.

An order may be unable to be canceled after it has entered fulfillment, been ordered from a manufacturer or supplier, been transferred to a warehouse, been scheduled with a carrier, or shipped.

Refusing delivery does not cancel an order.

Unless otherwise approved in writing, a refused shipment will be treated as a customer-authorized return and will be subject to:

• The 50% restocking fee;
• Original outbound shipping and service charges;
• Return freight; and
• Redelivery, storage, reconsignment, detention, and other carrier charges.

11. Quality Concerns

A concern regarding product color, odor, appearance, consistency, or performance does not by itself establish that the product is defective or waive an applicable return, shipping, or restocking charge.

A customer reporting a possible quality concern must:

• Stop using the affected product when reasonably appropriate.
• Preserve the product, packaging, labels, lot or batch information, and available samples.
• Provide photographs and a detailed description of the concern.
• Provide relevant information about storage, handling, equipment, contamination risks, and product use.
• Cooperate with reasonable inspection, sampling, or testing requests.
• Follow our instructions before returning, discarding, mixing, transferring, or altering the product.

We may require inspection or testing before determining whether a product was defective when delivered.

If we confirm a qualifying defect, the available remedy will be determined in accordance with applicable law, any manufacturer warranty, and written terms approved for the claim.

12. Pumps, Equipment, and Manufacturer Warranties

Pumps and equipment are sold as-is and are nonreturnable and nonrefundable unless:

• The product delivered is materially different from the product ordered;
• A written manufacturer warranty applies; or
• An authorized BuySinopec.com manager approves an exception in writing.

Manufacturer warranties, when available, are provided and administered under the manufacturer’s terms. We do not expand or modify a manufacturer’s warranty unless we expressly agree to do so in writing.

The customer is responsible for proper selection, installation, operation, inspection, maintenance, and compliance with all applicable manufacturer instructions and safety requirements.

13. Intellectual Property

The Services and their content—including trademarks, trade names, logos, text, product descriptions, images, graphics, photographs, reviews, video, audio, page designs, software, and arrangement—are owned by BuySinopec.com or its licensors and are protected by applicable intellectual-property laws.

Subject to these Terms, you may access and use the Services for legitimate personal or internal business purchasing purposes.

Without our prior written permission, you may not:

• Copy, reproduce, distribute, republish, display, or transmit website content;
• Modify or create derivative works from the Services;
• Use our trademarks, logos, product content, images, or marketing materials;
• Remove copyright, trademark, or proprietary notices;
• Frame or mirror any portion of the Services;
• Use the Services or their content to create or train a competing product, database, model, or service; or
• Exploit any portion of the Services for unauthorized commercial purposes.

All rights not expressly granted are reserved.

Third-party names, logos, trademarks, and product names appearing through the Services belong to their respective owners. Their appearance does not necessarily imply endorsement, affiliation, or sponsorship.

14. Optional Tools and Third-Party Services

We may provide access to tools, functionality, content, or services operated by third parties.

We do not necessarily control, monitor, or endorse these third-party services. They are made available “as is” and “as available,” subject to the third party’s own terms and privacy practices.

Your use of third-party services is at your own risk. We are not responsible for loss or damage resulting from your use of a third-party website, application, payment service, insurance provider, carrier system, or other external service.

Future tools, resources, and features added to the Services will also be governed by these Terms.

15. Ecommerce Platform Provider

Our website and online store are supported by a third-party ecommerce platform provider.

Purchases made through the Services are transactions directly between you and BuySinopec.com. The ecommerce platform provider is not the seller of the products and is not responsible for product selection, fulfillment, delivery, quality, returns, refunds, warranties, injuries, damages, or losses arising from a transaction with BuySinopec.com.

To the fullest extent permitted by law, you release our ecommerce platform provider and its affiliates from claims arising solely from your purchase transaction with BuySinopec.com, except to the extent caused by the provider’s own conduct or otherwise prohibited by law.

16. Privacy

Our collection, use, retention, and disclosure of personal information are governed by our Privacy Policy.

Our ecommerce platform, payment processors, fraud-prevention providers, analytics providers, carriers, and other service providers may collect and process information necessary to provide the Services, complete transactions, prevent fraud, and fulfill orders.

By using the Services, you acknowledge that personal information may be transmitted to and processed by service providers in the United States and other countries, as described in our Privacy Policy.

17. Feedback and Customer Content

If you submit a review, photograph, suggestion, idea, proposal, feedback, or other content to us, you grant BuySinopec.com a nonexclusive, perpetual, worldwide, transferable, sublicensable, royalty-free license to use, reproduce, modify, publish, translate, distribute, display, and create derivative works from that content for legitimate business and promotional purposes.

You represent that:

• You own the content or have permission to provide it.
• Our permitted use will not violate another party’s rights.
• The content is accurate and not misleading.
• You have disclosed any compensation or incentive related to the content.
• The content does not contain unlawful, defamatory, abusive, obscene, infringing, or malicious material.

We have no obligation to keep feedback confidential, pay compensation for it, or respond to it. We may monitor, edit, decline, or remove customer content at our discretion.

18. Errors, Inaccuracies, and Omissions

The Services may occasionally contain typographical errors, inaccuracies, or omissions concerning product descriptions, specifications, pricing, promotions, availability, shipping charges, or transit times.

We may correct errors, update information, or cancel an affected order at any time, including after an order has been submitted.

If we cancel an order because of our pricing or listing error, we will refund amounts paid for the canceled portion. We are not obligated to honor an incorrect price or term when the error was obvious or should reasonably have been recognized as an error.

19. Prohibited Uses

You may not use the Services:

• For an unlawful, fraudulent, deceptive, or malicious purpose;
• To violate any applicable law or another party’s rights;
• To submit false or misleading information;
• To impersonate another person or misrepresent your authority;
• To transmit malicious code or interfere with the Services;
• To collect or track another person’s information without authorization;
• To spam, phish, scrape, crawl, probe, or access restricted systems;
• To bypass security, authentication, rate limits, robot-exclusion controls, or other restrictions;
• To harass, threaten, defame, abuse, or harm another person;
• To copy, resell, or exploit the Services without authorization; or
• To engage in conduct that could damage BuySinopec.com, our service providers, or other users.

We may suspend or terminate access when we reasonably determine that these restrictions have been violated.

20. Automated Systems and Agents

This section applies when you use or permit an automated or semi-autonomous system, software agent, artificial-intelligence agent, bot, scraper, or similar technology to access or interact with the Services.

An automated agent must:

• Clearly identify itself as an automated agent and disclose its name through an appropriate user-agent identifier.
• Not conceal or misrepresent that its interactions are automated.
• Not mimic human activity for the purpose of avoiding detection.
• Not complete or bypass CAPTCHAs or similar controls.
• Respond truthfully to requests intended to determine whether an interaction is automated.
• Follow technical restrictions and requests limiting automated access.

We may restrict or block automated access at any time, including through technical measures.

21. Suspension and Termination

We may suspend or terminate your account, an order, or access to any part of the Services if:

• You violate these Terms or an incorporated policy;
• We reasonably suspect fraud, abuse, or unlawful activity;
• Your conduct creates a security, safety, financial, or legal risk;
• Payment is reversed, declined, or not received; or
• We discontinue the relevant portion of the Services.

Termination does not eliminate obligations or liabilities incurred before termination, including payment obligations.

Provisions concerning payments, intellectual property, feedback, disclaimers, limitations of liability, indemnification, dispute records, governing law, and other provisions that by their nature should survive will remain effective after termination.

22. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, WEBSITE CONTENT, AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” EXCEPT FOR ANY EXPRESS WRITTEN WARRANTY THAT APPLIES TO A PARTICULAR PRODUCT.

WE DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS NOT EXPRESSLY PROVIDED IN WRITING, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• THE SERVICES WILL BE UNINTERRUPTED, SECURE, CURRENT, OR ERROR-FREE;
• WEBSITE INFORMATION WILL ALWAYS BE ACCURATE OR COMPLETE;
• A PRODUCT WILL BE SUITABLE FOR A PARTICULAR CUSTOMER, MACHINE, APPLICATION, OR OPERATING CONDITION;
• A PRODUCT WILL SATISFY A PARTICULAR MANUFACTURER’S WARRANTY OR APPROVAL REQUIREMENT; OR
• DEFECTS IN THE SERVICES WILL ALWAYS BE CORRECTED.

Some jurisdictions do not permit the exclusion of certain warranties. In those jurisdictions, these exclusions apply only to the maximum extent permitted by law.

23. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BUY SINOPEC.COM AND ITS AFFILIATES, PARTNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, SUPPLIERS, DISTRIBUTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST PRODUCTION, BUSINESS INTERRUPTION, LOSS OF USE, LOSS OF DATA, EQUIPMENT DOWNTIME, REPLACEMENT COSTS, OR LOSS OF BUSINESS OPPORTUNITY.

THIS LIMITATION APPLIES TO CLAIMS ARISING FROM OR RELATING TO:

• USE OF OR INABILITY TO USE THE SERVICES;
• PRODUCTS PURCHASED THROUGH THE SERVICES;
• PRODUCT SELECTION, COMPATIBILITY, STORAGE, HANDLING, OR USE;
• SHIPPING OR DELIVERY DELAYS;
• CARRIER DAMAGE OR LOSS;
• WEBSITE CONTENT, ERRORS, OR OMISSIONS;
• THIRD-PARTY SERVICES; OR
• UNAUTHORIZED ACCOUNT OR PAYMENT ACTIVITY,

REGARDLESS OF WHETHER THE CLAIM IS BASED IN CONTRACT, WARRANTY, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR ANOTHER THEORY, AND EVEN IF THE POSSIBILITY OF DAMAGES WAS DISCLOSED.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM A PRODUCT OR TRANSACTION WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO BUY SINOPEC.COM FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes liability that cannot legally be excluded or limited. Where a limitation is prohibited, liability will be limited to the maximum extent permitted by law.

24. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless BuySinopec.com and its affiliates, partners, officers, directors, employees, agents, contractors, service providers, suppliers, distributors, and licensors from third-party claims, losses, damages, liabilities, judgments, penalties, costs, and reasonable attorneys’ fees arising from or relating to:

• Your breach of these Terms or an incorporated policy;
• Your violation of applicable law or another party’s rights;
• Your misuse of the Services;
• Your product selection, storage, handling, resale, installation, or use;
• Your failure to follow safety data, manufacturer instructions, or applicable regulations;
• Information or content you provide; or
• The conduct of a person using your account or acting under your authority.

We may control the defense and settlement of an indemnified claim using counsel of our choice. You agree to reasonably cooperate and provide relevant information and documents.

We will not agree to a settlement that imposes a direct nonmonetary obligation on you without your consent, which will not be unreasonably withheld.

25. Events Beyond Our Control

We are not responsible for a delay or failure caused by circumstances beyond our reasonable control, including natural disasters, severe weather, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, labor disputes, transportation interruptions, carrier failures, port congestion, governmental actions, embargoes, supply shortages, manufacturing interruptions, utility failures, cyberattacks, or failures of communications or technology systems.

Our obligations will be suspended for the duration and to the extent of the event’s impact.

26. Governing Law and Venue

These Terms and any dispute arising from or relating to the Services, an order, or a product will be governed by the laws of the State of Florida, without regard to conflict-of-law principles.

To the fullest extent permitted by law, the parties consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Palm Beach County, Florida.

Nothing in this section prevents either party from pursuing a qualifying claim in small-claims court or exercising a nonwaivable right provided by applicable law.

27. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the fullest extent permitted by law and the unenforceable portion will be severed.

The remaining provisions will remain valid and enforceable.

28. Waiver

Our failure or delay in exercising a right or enforcing a provision does not waive that right or provision.

A waiver is effective only if it is in writing and applies only to the specific circumstance identified.

29. Entire Agreement and Order of Precedence

These Terms, our Privacy Policy, our Return, Refund, Shipping and Cancellation Policy, applicable RMA terms, order confirmations, and any other written terms expressly applicable to a transaction constitute the agreement between you and BuySinopec.com concerning the Services and your purchase.

They supersede prior or contemporaneous oral or written discussions concerning the same subject.

If written terms conflict, the following order of precedence applies unless expressly stated otherwise:

1. A written agreement signed by an authorized BuySinopec.com representative;
2. Written exception terms approved by an authorized BuySinopec.com manager for the specific order;
3. The applicable RMA;
4. The order confirmation;
5. The Return, Refund, Shipping and Cancellation Policy;
6. These Terms of Service; and
7. Other general website content.

Oral statements do not modify these Terms or waive an applicable policy.

30. Assignment

You may not assign, transfer, or delegate these Terms or your rights or obligations without our prior written consent. Any attempted assignment without consent is void.

We may assign or transfer these Terms and our rights and obligations as part of a merger, acquisition, financing, reorganization, sale of assets, or other business transaction.

31. Changes to These Terms

We may update these Terms to reflect changes to the Services, our practices, technology, or legal requirements.

The current version will be posted on this website with an updated revision date. Material changes will be communicated when required by applicable law.
